Change of partners (commercial company)

Submit a request to change a partner by adding/removing a partner or shareholder.

Service Conditions

  • If the new partner is a Bahrain company, a signed resolution stating its entrance as a partner must be presented. (LLC\Partnership company: minutes of a meeting of partners - Joint Liability company: -Bahraini Joint Stock company(public)\(closed): resolution of board of directors)
  • If the new partner is a foreign company; the following must be presented: signed resolution from the company to entre as a partner + Copy of the company registration + copy of memorandum association and any other amendment thereto. All these documents must be attested

Required Attachments

  • A notarized power of attorney if the applicant is an unrelated party to the Commercial Registration holder, or an unnotarized power of attorney if the applicant is a professional office or an authorized employee registered on the same registration
  • A decision from the company owner / meeting minutes of partners / a decision from shareholders
  • No Objection Certificate (NOC) for new partners of the company
  • A decision from the new partner if they are a legal person
  • Draft amendment to the memorandum of association / articles of association / declaration of incorporation related to the amendment of the article related to the company’s capital only
  • Draft declaration of the renunciation of shares

  • The Commercial Register Law and the Commercial Companies Law promulgated by Decree-Law No. (12) of 2001 and its amendments with the executive regulations

Service Processes

  • Log in to the SIJILAT system and select the transaction: Investor submits an application through the SIJILAT system
  • A decision on the request is made by The Registration Department of the Ministry of Industry, Commerce and Tourism
  • Document the signed resolution to renounce the partner’s shares. In the event of adding a new partner, the memorandum of association must be amended before a notary
  • Transaction fees are paid
  • The amendment process is completed
